1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. Yancheng Herun Steel Structure Engineering Co., Ltd. ("Herun Steel", "we", "us", or "our") provides steel structure manufacturing, metal fabrication, laser cutting, and related services subject to these terms. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Herun Steel provides the following services:

• Custom steel structure design and manufacturing
• Non-standard metal product fabrication
• Precision laser cutting services (12,000W capacity)
• Steel plate sales and processing
• Ventilation and water treatment equipment fabrication
• Color steel plate production and installation

3. Quotations and Orders

3.1 Quotations

All quotations provided are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on the specifications, drawings, and requirements provided by the customer. Any changes to specifications may result in revised pricing.

3.2 Order Confirmation

An order is confirmed only after:

• Written acceptance of our quotation
• Agreement on technical specifications and drawings
• Receipt of required deposit payment
• Issuance of our official order confirmation

3.3 Minimum Order Quantity

Minimum order quantities vary by product type. Standard products typically require a minimum of 1 ton, while custom fabrication projects are evaluated on a case-by-case basis. Please contact us for specific MOQ requirements.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in USD or CNY as specified. Prices are Ex-Works (EXW) or FOB China unless otherwise agreed. Prices do not include shipping, insurance, customs duties, or taxes unless explicitly stated.

4.2 Payment Terms

Standard payment terms are:

• 30% deposit upon order confirmation
• 70% balance before shipment (or as agreed)
• Payment via T/T (Telegraphic Transfer) or L/C (Letter of Credit)

Alternative payment arrangements may be negotiated for established customers.

5. Production and Delivery

5.1 Production Lead Time

Production lead times vary based on order complexity and current capacity:

• Standard steel structures: 15-30 working days
• Custom fabrication: 20-45 working days
• Laser cutting services: 3-7 working days

Lead times begin after order confirmation and receipt of deposit. We will provide specific timelines with each quotation.

5.2 Shipping and Delivery

Shipping arrangements are the responsibility of the buyer unless otherwise agreed. We can assist with logistics coordination and provide loading supervision. Risk of loss transfers to the buyer upon delivery to the carrier (FOB terms) or as specified in the contract.

6. Quality and Inspection

6.1 Quality Standards

All products are manufactured in accordance with:

• Chinese National Standards (GB)
• Customer-specified standards (ASTM, EN, JIS, etc.)
• ISO 9001 quality management system requirements

6.2 Inspection

Customers may arrange third-party inspection at their own cost. We provide standard quality documentation including material certificates, dimensional inspection reports, and welding inspection records. Pre-shipment inspection can be arranged upon request.

7. Warranty

We warrant that our products will conform to the agreed specifications and be free from defects in materials and workmanship. Our warranty coverage:

• Structural steel products: 12 months from delivery
• Surface treatment/coating: 6-12 months depending on specification
• Equipment and machinery: As specified per product

Warranty does not cover damage due to improper installation, misuse, modification, or normal wear and tear.

8. Limitation of Liability

To the maximum extent permitted by law, Herun Steel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by the customer for the specific products or services giving rise to the claim.

9. Intellectual Property

All intellectual property rights in our designs, drawings, and proprietary processes remain with Herun Steel. Custom designs created for customers remain confidential and will not be shared with third parties without consent. Customers retain ownership of their provided drawings and specifications.

10. Confidentiality

We treat all customer information, project details, and technical specifications as confidential. We will not disclose such information to third parties except as necessary to fulfill our contractual obligations or as required by law.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, war, government actions, pandemics, strikes, or supply chain disruptions. In such events, the affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

12. Dispute Resolution

Any disputes arising from these terms or our business relationship shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall take place in Shanghai, China, and be conducted in English or Chinese as agreed by the parties.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after any modifications indicates acceptance of the updated terms. Material changes affecting existing orders will be communicated directly to affected customers.
